Terms of Service

1. Agreement to Terms

By downloading, installing, or using the Coach mobile application (the “App”) operated by Nexus Kairos LLC (“Company,” “we,” “us,” or “our”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree to these Terms, do not use the App.

2. Description of Service

Coach is an AI-powered nutrition tracking application that allows users to log meals, track calories and macronutrients, and receive personalized nutrition insights through voice input and AI analysis. The App is intended for informational and personal tracking purposes only.

3. Eligibility

You must be at least 13 years old to use the App. By using the App, you represent and warrant that you are at least 13 years of age. If you are under 18, you represent that you have your parent or guardian's permission to use the App.

4. Account Registration

To access certain features of the App, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete. You are responsible for safeguarding your account credentials and for all activities that occur under your account.

5. Health and Medical Disclaimer

The App does not provide medical advice. The nutritional information, calorie estimates, macro calculations, and coaching suggestions provided by the App are for general informational purposes only and are not a substitute for professional medical advice, diagnosis, or treatment. Always seek the advice of your physician or other qualified health provider with any questions you may have regarding a medical condition or dietary needs.

Nutritional estimates provided by AI may not be 100% accurate. The App uses artificial intelligence to estimate calorie and macronutrient content based on your voice descriptions, and these estimates may vary from actual values.

6. Acceptable Use

You agree not to:

• Use the App for any unlawful purpose or in violation of these Terms
• Attempt to gain unauthorized access to the App or its related systems
• Interfere with or disrupt the integrity or performance of the App
• Reproduce, duplicate, copy, sell, or resell any portion of the App
• Use the App to transmit harmful, offensive, or objectionable content
• Reverse engineer, decompile, or disassemble any aspect of the App

7. Intellectual Property

The App and its original content, features, and functionality are owned by Nexus Kairos LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App for personal, non-commercial purposes.

8. Subscriptions and Payments

Certain features of the App may require a paid subscription. Subscriptions are billed through the Apple App Store. Payment will be charged to your Apple ID account at confirmation of purchase. Subscriptions automatically renew unless auto-renew is turned off at least 24 hours before the end of the current period. You can manage and cancel your subscriptions by going to your account settings on the App Store after purchase.

9. Termination

We may terminate or suspend your access to the App immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the App will immediately cease. You may also delete your account at any time by contacting us.

10. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall Nexus Kairos LLC, its directors, employees, partners, agents, suppliers, or affiliates be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation loss of profits, data, use, goodwill, or other intangible losses, resulting from your access to or use of or inability to access or use the App.

11. Disclaimer of Warranties

The App is provided on an “AS IS” and “AS AVAILABLE” basis. The App is provided without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose, non-infringement, or course of performance.

12. Governing Law

These Terms shall be governed and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

13. Changes to Terms

We reserve the right to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to use the App after those revisions become effective, you agree to be bound by the revised terms.
